1. Agreement to Terms

By accessing or using the services provided by Eversoft Fzco ("Eversoft," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services.

2. Services

Eversoft provides web development, digital marketing, and related technology services. The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate project proposal or service agreement.

3. Client Responsibilities

• Provide accurate and complete information necessary for project execution
• Provide timely feedback and approvals at agreed-upon milestones
• Ensure all content provided (text, images, media) does not infringe on third-party rights
• Maintain confidentiality of any login credentials or access provided

4. Payment Terms

• Payment terms will be specified in your project proposal or service agreement
• A deposit is typically required before work begins
• Invoices are due within 14 days of issuance unless otherwise agreed
• Late payments may result in project delays or suspension of services
• All prices are in USD unless otherwise specified

5. Intellectual Property

Client Ownership

Upon full payment, the client receives full ownership of all custom work product created specifically for their project, including website code, custom designs, and original content.

Eversoft Rights

• We retain the right to showcase completed work in our portfolio unless otherwise agreed in writing
• Pre-existing tools, frameworks, and components used in project development remain the property of Eversoft or their respective licensors
• Third-party assets (stock images, fonts, plugins) are subject to their own licensing terms

6. Project Timeline

Estimated timelines are provided in good faith but are not guarantees. Delays caused by late client feedback, scope changes, or circumstances beyond our control may extend the project timeline. We will communicate any significant delays promptly.

7. Revisions & Scope Changes

• Each project includes a defined number of revision rounds as specified in the proposal
• Additional revisions beyond the agreed scope may incur extra charges
• Significant scope changes will require a revised proposal and may affect pricing and timeline

8. Warranties & Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. However, we do not guarantee specific business outcomes (e.g., traffic increases, conversion rates, or revenue growth) resulting from our work.

Our services are provided "as is" without warranties of any kind, express or implied, except as explicitly stated in a written agreement.

9. Limitation of Liability

To the maximum extent permitted by law, Eversoft's total liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific project in question.

10. Termination

• Either party may terminate a project with 14 days' written notice
• Upon termination, the client is responsible for payment for all work completed up to the termination date
• Completed deliverables will be transferred upon full payment

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes shall be resolved through the courts of Dubai, UAE.

12. Changes to Terms

We reserve the right to update these Terms at any time. Changes will be effective upon posting to our website.
